Voting Against Directors at Greggs and MAV4

Greggs (GRG) held their Annual General Meeting today. This was a “closed” meeting but with no electronic access provided. Bearing in mind the size of the company, it seems unreasonable that they could not have provided shareholder access. But I note that the votes reported show that several directors received substantial votes against. For example Ian Durant at 4.8% and Sandra Turner at 7.7%. I wonder why? There were also substantial numbers of votes withheld but no explanation has been given. One advantage ...

Unjustified Remuneration at Greggs and Avast

The markets seem to be settling down from the Covid-19 panic even if the impact on company results is far from clear. But it has given me time to read the Remuneration section of a couple of Annual Reports. Firstly Greggs (GRG). Their Annual Report is a masterpiece of explaining why the company has been so successful of late – to quote from it: “Cheers to a record-breaking year. Since 1939 we have been on a roll….”. Yesterday it issued a trading update simply saying ...

RBS, Hibu and the unacceptable face of banking

There have been extensive media comments lately on the activities of the Royal Bank of Scotland in lending to smaller businesses, and what they did when those businesses got into financial difficulties. The articles printed focussed on two reports on the activities of RBS - a report commissioned by the bank by Sir Andrew Large, and one by Lawrence Tomlinson* who acts as a consultant to the BIS Department. Both reports, but particularly the latter one, were quite damning about the ...

AGM Reports

Greggs plc (GRG) AGM Report 2013.

This year’s Annual General Meeting of Greggs was held at the Marriott Gosforth Park Hotel, Newcastle. As readers may know, Greggs sells bread, cakes and “fast food” of various kinds including pasties through a nationwide network of shops. Revenue has grown in recent years but in their Interim Management Statement the company noted a fall in like-for-like sales and this was reported as a “profit warning” in the press (see more on this below). Analysts’ forecasts were revised down and the ...
