Brief Description of Action
Snap is a technology company best known for Snapchat, a visual messaging application. Snapchat connects brand and direct response advertisers to customers through the Snapchat platform. Snapchat offers multiple different ad types, integrations, and locations, and provides the ability for entities to bid for more targeted ad placements.

Snap and its officers consistently provided investors with material information concerning Snap’s advertising revenue expectations for the second quarter and full year fiscal 2025. Their statements included, among other things, confidence in Snap’s ability to execute on its advertising growth potential and in management’s claims that ongoing headwinds in April were externally sourced, coupled with the minimization of both the significance of such headwinds and the magnitude of their impact.

The Complaint against Snap and its officers alleges that, throughout the Class Period, they made false and/or misleading statements and/or failed to disclose material facts to investors. Specifically, Snap and its officers created the false impression that they possessed reliable information pertaining to the Company’s expected advertising revenue and anticipated growth while emphasizing potential macroeconomic instability.

In truth, Snap’s optimistic reports of advertising growth and earnings potential fell short of reality.

Impact of Emerging Evidence
On 5 August 2025, Snap announced its financial results for the second quarter of fiscal year 2025, disclosing a deceleration in advertising revenue growth. The Company attributed the slowdown to “an issue related to our ad platform, the timing of Ramadan, and the effects of the de minimis changes.” On this news, Snap’s stock price fell $1.61 per share, or 17.15%, to close at $7.78 per share on 6 August 2025.
